These Terms and Conditions (“Terms”) govern your access to and use of zelig.com and any related pages, subdomains, and content (the “Site”) operated by Zelig Technology, LLC (“Zelig,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

These Terms cover the Zelig marketing website. Use of the Zelig platform and any licensed products is governed by a separate written agreement between Zelig and the licensing retailer.

Eligibility

The Site is intended for business users who are at least 18 years old. By using the Site, you represent that you meet this requirement and that any information you provide is accurate and complete.

Use of the Site

Zelig grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal or internal business use. You agree not to:

• Copy, modify, distribute, sell, or lease any part of the Site or its content, except as expressly permitted.
• Reverse engineer, decompile, or attempt to extract source code from the Site.
• Use the Site to send unsolicited communications, advertisements, or spam.
• Use automated tools (bots, scrapers, crawlers) to access the Site without our prior written consent.
• Interfere with or disrupt the Site, its servers, or the networks connected to it.
• Use the Site in any way that violates applicable law or regulation.
• Attempt to gain unauthorized access to any account, system, or data.
• Impersonate any person or misrepresent your affiliation with any entity.

Intellectual property

Site content

The Site and its content, including text, graphics, logos, images, video, audio, code, and design, are owned by Zelig or its licensors and are protected by copyright, trademark, and other intellectual property laws. The Zelig name, the Zelig wordmark, the Z monogram, and related trade dress are trademarks of Zelig Technology, LLC. Nothing on the Site should be construed as granting any license to use these marks without prior written permission.

Feedback

If you send us feedback, suggestions, or ideas about the Site or the Zelig platform, you grant Zelig a perpetual, worldwide, royalty-free license to use, reproduce, modify, and distribute that feedback without restriction and without compensation to you.

Submitted information

When you submit information through the Site, including through demo request forms and contact forms, you represent that the information is accurate and that you are authorized to provide it. We handle the information you submit in accordance with our Privacy Policy.

Third-party links and content

The Site may contain links to third-party websites, articles, and press coverage. Zelig does not endorse and is not responsible for the content, accuracy, privacy practices, or availability of third-party sites. Accessing third-party sites is at your own risk and is subject to their terms and privacy policies.

Marketing communications

If you opt in to receive marketing communications from Zelig, you can unsubscribe at any time using the link in any marketing email or by contacting [email protected]. Transactional communications (for example, responses to demo requests) will continue regardless of marketing preferences.

Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ZELIG DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

Zelig does not warrant that the Site will be uninterrupted, secure, or error-free, or that defects will be corrected. Any statistics, metrics, case studies, or performance figures shared on the Site describe historical results in specific deployments and are not guarantees of future performance for any other retailer or use case.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ZELIG AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ZELIG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ZELIG’S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

Indemnification

You agree to indemnify, defend, and hold harmless Zelig and its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Site, your breach of these Terms, or your violation of any law or third-party right.

Governing law and jurisdiction

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.

Changes to these terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on the Site and update the effective date at the top. Your continued use of the Site after the changes take effect constitutes acceptance of the updated Terms.

Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. All provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, indemnification, and governing law.

Severability and waiver

If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be a waiver of that right or provision.

Entire agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Zelig regarding your use of the Site and supersede any prior agreements or understandings.
